Telekom Slovenije, d.d., received the approval from the Macedonian competition authority for the merger of operators One and Vip

Telekom Slovenije, d.d., today received the decision of the Macedonian Commission for Protection of Competition, allowing the merger of operators ONE DOOEL Skopje, which is a part of the Telekom Slovenije Group and VIP OPERATOR DOOEL Skopje, the Macedonian subsidiary of the Telekom Austria Group.

Pursuant to provisions of Ljubljana Stock Exchange Rules and applicable legislation the company Telekom Slovenije, d.d., Cigaletova 15, Ljubljana, hereby publishes the following notification:

Telekom Slovenije, d.d., today received the decision of the Macedonian Commission for Protection of Competition, allowing the merger of operators ONE DOOEL Skopje, which is a part of the Telekom Slovenije Group and VIP OPERATOR DOOEL Skopje, the Macedonian subsidiary of the Telekom Austria Group. The approval of the Macedonian Commission for Protection of Competition is based on specific obligations, including the obligation that the merged company shall provide access to Macedonian mobile virtual network operators (MVNOs). The closing of transaction is expected in the last quarter of 2015.

In the newly founded company Telekom Slovenije, d.d., shall have a 45% share, while Telekom Austria Group will own a 55% share of the company. The agreement also includes the call and put option for the exit of Telekom Slovenije, d.d., from the merged company within three years following the completed merger.

Telekom Slovenije, d.d., and Telekom Austria Group notified concentration to the Commission on 30 December 2014 after signing the agreement on the merger of operators ONE DOOEL Skopje and VIP OPERATOR DOOEL Skopje in Macedonia.

Activities in the Macedonian market comply with the 2015 Business Plan of the Telekom Slovenije Group and the 2015 – 2019 Strategic Business Plan of the Telekom Slovenije Group.

In Q4 2014 ONE DOOEL Skopje had a 25.1% market share in the mobile segment and was the third largest Macedonian mobile operator. ONE DOOEL had a total of approx. 715,000 users in all service segments. In 2014 the companies ONE DOOEL Skopje and Digi Plus Multimedia DOOEL Skopje generated a total of 75.7 m EUR of net sales and 10.6 m EUR EBITDA in the Macedonian market.

In Q4 2014 VIP OPERATOR DOOEL had a 28.2% market share in the mobile segment and was the second largest Macedonian mobile operator; and had a total of approx. 620,000 users in all service segments. In 2014 the company generated 62.0 m EUR of revenues and 12.6 m EUR EBITDA.

 

This notification shall be accessible on the website of Telekom Slovenije (www.telekom.si) for the period of five years.
