Pursuant to the provisions of the Rules of the Ljubljana Stock Exchange and the valid legislation, Telekom Slovenije, d.d., Cigaletova 15, Ljubljana, hereby responds to some media publications related to the acquisition of ACTUAL I.T., informacijske tehnologije, d.d. (hereinafter: Actual I.T.).

Actual I.T. was classified among potential acquisition targets before this current Management Board was appointed. Telekom Slovenije Group’s strategy is primarily focused at digitalisation across all levels of operations, and key strategic guidelines also include growth in ICT services, both organic and through the consolidation of the Slovenian ICT market.
Telekom Slovenije concluded the agreement on the purchase of 100% of shares of Actual I.T. on 28 March 2022. As we made public at the conclusion of the agreement, the agreed total value of Actual I.T. (as at 31 December 2021) stood at EUR 30 million, and if the formula for calculating the purchase fee were applied for 31 December 2021 as the date for concluding the transaction, the purchase fee would be EUR 20,627 million. The agreement was concluded under several suspensory conditions that have to be met before the transaction is completed. This purchase is in line with the adopted strategic business plan of Telekom Slovenije Group and represents an important milestone in the realisation of the set strategy. This will allow Telekom Slovenije to strengthen its position on the Slovenian ICT market, and to leverage major synergies in creating the foundations for continued development.
During the procedure two auditors prepared independent valuations of Actual I.T., and a due diligence review was completed.
In relation to information on potential pressures on employees we conducted appropriate internal procedures, and during these procedures it was concluded that it could not be established any such actions occurred.
