Page ContentFrequently asked questions Change in personal data Because the personal data of natural persons as holders of securities (e.g. name and surname, permanent residence, etc.) in the Central Securities Clearing Corporation’s (KDD) register are harmonised automatically with data from the central population register, changes to the aforementioned data do not need to be managed via KDD. Representing the exception are holders who are not entered in the central register (legal entities, non-resident natural persons and natural persons entered in KDD’s register with a KID identification number). The latter must submit a request to KDD for a change to personal data. Statement of securities account To obtain a statement, the form accessible on KDD’s website must be completed and sent to the following address: KDD d.d., Tivolska cesta 48, 1000 Ljubljana, by fax at ++386 1 307 35 07 or delivered in person to KDD’s post room at the aforementioned address during official business hours. A request for a statement may also be sent to KDD using an interactive online form. Following the receipt of your request, KDD will send you a payment order and later the statement when payment has been received. Inheritance of securities and payment of dividends on inherited securities Securities are transferred on the basis of the written request of heirs. The request can be sent to KDD at the following address: KDD d.d., Tivolska cesta 48, 1000 Ljubljana or delivered in person to KDD’s post room at the aforementioned address during official business hours. A legally enforceable decree of distribution (original or certified copy) must be attached to the request. Following the receipt of your request, KDD will send a payment order to cover the costs of transfer. Following the receipt of payment, KDD executes the transfer of securities to the account of the heir and informs him or her accordingly in writing. For the payment of dividends from inherited shares, heirs must send a copy of KDD’s written transfer confirmation, together with the number of your transaction account and tax number, to the Company at the following address: Telekom Slovenije, d.d., Cigaletova 15, 1000 Ljubljana – attention of the Financial Management Department or via email to: dividenda@telekom.si. Participation at the general meeting Shareholders who are entered in the central register of securities at KDD at the close of business four days prior to the General Meeting (cut-off day) and who register in writing to participate at the General Meeting by the date set out in the convening thereof are entitled to participate and vote at the General Meeting. The convening of every General Meeting is published, together with the agenda and the associated materials, at least 30 days prior to the General Meeting via the Ljubljana Stock Exchange’s SEOnet portal, in the Official Gazette of the Republic of Slovenia and on the Company’s website. Right to dividends All shareholders entered as such in the register at KDD on the day set out in the general meeting resolution (record-date) are entitled to receive dividends. Payment of dividends The General Meeting makes decisions regarding the amount of dividends. Dividends are paid by the Company itself. Following the General Meeting, all shareholders receive written notification regarding the respective amount of dividends, and the date and method of payment. At the same time, shareholders are requested to verify and/or submit key data that are the basis for the payment of dividends, i.e. their transaction account numbers and tax numbers. All data and/or changes must be reported in writing (not by telephone) to the following address: Telekom Slovenije, d.d., Cigaletova 15, 1000, Ljubljana – attention of the Financial Management Department or via email to: dividenda@telekom.si. Regulations permit the cash payment of dividends to natural persons only if the gross dividend does not exceed the prescribed amount of € 50.00. If the gross dividend exceeds the aforementioned amount, dividends may only be paid to a personal account. Taxation of dividends Dividends that are paid to natural persons who are residents of the Republic of Slovenia are taxed at a rate of 25 %. Those persons thus receive net dividends in the amount of 75 % of the defined gross dividend. The tax paid is deemed final, meaning that the paid dividends are not taken into account in the calculation of personal income tax. With the aim of claiming benefits arising from international agreements on the avoidance of double taxation, non-residents may submit a completed request for the reduction or exemption of taxes (KIDO-1) to the Company before the payment of dividends, together with a confirmation of residence, or file a claim for the reimbursement of taxes directly from the tax authorities on the basis of the associated request (KIDO-9). Purchases and sales of securities Securities may be sold or purchased via brokerage houses or banks that are members of the Ljubljana Stock Exchange. The following documents are required for purchases: a valid personal document, tax number, and transaction account number. In addition to the aforementioned documents, confirmation of share ownership (e.g. a securities account statement from KDD) is required for the sale of securities.
